Form 8594

Form 8594 is the federal tax form both buyer and seller file with the IRS after an asset sale, allocating the total price across categories of assets, such as equipment, inventory and goodwill. Both sides are required to report the same allocation, since it is what each side's tax treatment of the deal is based on. It is a federal filing, not a state one.

Why it matters

The allocation on this form decides how much of your sale is taxed as ordinary income versus capital gain.
